Member Agreement

As the costs of running all of the Bloomees.com web sites are covered by Bloomees.com, Members are, by definition, sub-affiliates of Bloomees.com.

Every partnership needs a solid foundation and serious business relationships call for professional practices. That includes getting the terms of our partnership down in writing. This serves to protect all parties by avoiding confusion and misunderstandings.

Please take a moment to read this agreement. We've done our best to keep the legalese down to a minimum and to give you the straight story.

Terms of Use & the Membership Agreement

(Please read these agreements carefully before using these services. By using this website and signing up as a member, you agree to be bound by these terms and conditions.)

The following Terms of Use Agreement (the "Agreement") is made between the Bloomees.com, or any sites linking to the Bloomees.com shopping network. ("Bloomees", "we", "our", or "us") and You (or "Your").

A. Requirements To Join
------------------------------------------------------------------------------------------------

The Bloomees.com Membership Program is an International opportunity, open to any individual or company from any country, with a valid email address on the Internet.

Exceptions to the above are email addresses which promote or contain sexually explicit material, violence, illegal activities such as software piracy, or discrimination based on race, sex, religion, national origin, physical disability, sexual orientation, or age, or which practice UCE (Unsolicited Commercial Email), also known as SPAM, in any way.

There is no charge to become a member. Any other fees charged above and beyond the free membership is for the sole benefit of the individual or group of individuals soliciting your membership as a fundraising effort for that individual or group of individuals.

Duration of valid membership shall be for as long as the following acceptance of the terms and conditions contained in this agreement are in place.

Members MUST read this Agreement carefully before signing up. By signing up you are verifying that you have read this agreement and understand it's content.

B. Program Details
------------------------------------------------------------------------------------------------

Promotion of Our Membership Program

Our Membership program is a 1-tier sub-affiliate program which means that commissions are paid on direct purchases made by members or friends of members by logging into the Bloomees.com web site using a membership log in number and password.

We utilize sophisticated tracking software to track visitors from all of the Bloomees.com websites. This software uses cookies to track referrals. Cookies will remain active for a period of 6 months.

C. Commission Structure & Payment

All services and or products sold by Bloomees to customers originating from the member's log in area, qualify to earn sub-Affiliate referral fees as described below.

We reserve the right to reject any order that does not comply with this policy.

Every customer who purchases products or services from Bloomees.com or its sister sites is deemed to be a customer of Bloomees.com.

Members are paid a percentage for each completed direct sale of Bloomees.com products or services.

Bloomees.com will pay Members on a quarterly basis when your account has reached a minimum of $10.00. Accounts with a balance of less than $10.00 will roll over to the next quarter. Members have the exclusive right of electing to receive all commissions themselves or to donate to another individual or group of the Member's choice.

Upon joining Bloomees, you will receive a $5.00 bonus credit to your account. You must shop through bloomees.com and earn additional funds within 90 days from the date you join in order for your $5.00 to become effective. If no earnings are posted to your account within the first 90 days, you will lose the $5.00 credit. Your account will still be active, however, unless you request to terminate your account. Payment will only be sent when your account reaches $10.00 or more at the end of a quarter. Any earnings less than $10.00 will carry over to the next quarter.

No minimum amount of sales are required to remain active.

Commissions on credit card chargebacks will be deducted from your next quarterly commission payout.

Bloomees.com reserves the right to change the commission percentage if and when necessary on existing merchants in the Bloomees.com shopping network. Commissions will be credited to your Member account on a real-time basis and any changes in commission payments will only affect future purchases. Notice of any updates to the commission structure will be posted on the Bloomees.com home page and all purchases will be reported in real- time pursuant to the updated commission structure as posted. Bloomees.com reserves the right to add or delete any merchant service or product in the Bloomees.com shopping network without notification.

D. Customer Satisfaction

Any member may choose to cancel their membership at any time.

E. Causes For Termination
------------------------------------------------------------------------------------------------

In the unlikely event that it becomes necessary to terminate our partnership, we'll do so only after careful consideration of the facts. We understand that you will be "shopping for a cause" over the long term. Therefore we would only terminate a member who has explicitly broken the policy as described in this agreement.

Memberships will be terminated if they are found to be promoting or linking to Bloomees.com from websites which promote or contain sexually explicit material, violence, illegal activities such as software piracy, or discrimination based on race, sex, religion, national origin, physical disability, sexual orientation, age, or which practice UCE (Unsolicited Commercial Email), also know as SPAM, in any way.

Any member caught violating our SPAM policy will immediately be terminated. See the SPAM definition within this agreement.

Any member using unfair electronic means to generate bogus traffic, referrals and sales for the purpose of inflating commissions will be terminated.

Any member who ignores warnings to cease and desist any activities we deem negligent, inappropriate, or harmful to Bloomees,com and or other sister sites, will be terminated.

Members who are terminated will be notified via email. Any Member terminated for the above reasons will not receive any commissions due.

F. Resolution Of Disputes
------------------------------------------------------------------------------------------------

In the event of disagreement, let's resolve it swiftly and amicably. Life is too short to dally over petty issues. Most differences can patched up easily enough if the lines of communication are open. If you have a concern or complaint, please contact us immediately at info@bloomees.com.

Bloomees.com operates under the laws of the United States of America in the State of Colorado and in the unlikely case of disputes, such disputes will be addressed according to these laws, on location in Broomfield, Colorado in the United States of America, without exception.

G. Copyright & Intellectual Property
------------------------------------------------------------------------------------------------

Title, ownership, and intellectual property rights shall remain with Bloomees.com and vigorously protected by International copyright laws and treaties.

This agreement gives you no rights to any content on the Bloomees.com website(s).

Bloomees.com claims no right to ownership of any of your email content.

Bloomees.com grants you the right to use the Bloomees name in acceptable marketing materials for fundraising purposes.

You are responsible for ensuring that your advertising obeys all applicable copyright and trademark laws.

Bloomees.com is not responsible for Member's misuse of any copyrighted material.

H. Limits To Liability
------------------------------------------------------------------------------------------------

Bloomees.com shall have no liability for any indirect, incidental or consequential damages, or any loss of revenue arising under or with respect to this agreement or the Bloomees.com Membership Program, even if Bloomees.com has been advised of the possibility of such damages.

I. Policy On SPAM (Unsolicited Commercial Email)
------------------------------------------------------------------------------------------------

We don't like it, we don't do it, and we won't stand for it. Any Member employing SPAM while promoting our shopping network, will be instantly dismissed. Period.
There is ample documentation on what constitutes SPAM. Ignorance is not a defense. You are responsible for each and every one of your actions.

Members may not advertise or reference Bloomees.com within Newsgroups.
Any damages that result from your negligence will result in severe actions being taken for compensation. In addition you will be terminated as a member losing all rights for any commissions due to you, generated by you.

We ARE in favor of responsible opt-in permission marketing.

J. Privacy Policy
------------------------------------------------------------------------------------------------

We respect the privacy of our Members. Your contact information, traffic stats, reports and commission amounts are only available to two parties. Yourself and our member manager.

At Bloomees.com, protecting your privacy is of utmost importance to us.

We do not capture any unsolicited personal information during your visit to Bloomees.com or any of our member sites, nor do we divulge or share in any way with any third party any email addresses or personal information you may have given us in any of the interactive forms within our website.

Your email address will not be used for any purpose, other than for the specific purpose for which it was originally shared with Bloomees.com, and you will not receive any unsolicited mail or email from Bloomees.com at any time. We will not publish or make known any part of your personal information you have provided us, in any way shape or form, unless we have asked for and been given your express permission to do so.

Should you have any further queries or suggestions as regards our privacy policy, please feel free to contact us.

K. General

This agreement will stay in effect as long as Bloomees.com makes this service available, unless this agreement is terminated beforehand due to breach of its terms.

You and Bloomees.com have the right to terminate this agreement at any time without notice. You agree that payment will be withheld until correct amount due is determined.

We will make every effort to ensure that our website and tracking system is operational at all times. In the event of unavoidable technical difficulties which may cause service and tracking interruptions, you agree that Bloomees.com is not liable in any way for such interruptions.

We have taken every effort to design our Web site to be useful, informative, helpful, honest and fun. Hopefully we've accomplished that and would ask that you let us know if you'd like to see improvements or changes that would make it even easier for you to find the information you need and want.

All we ask is that you agree to abide by the above-mentioned Terms and Conditions.

Thank you for taking the time to look them over because by using our site you automatically agree to them. Naturally, if you don't agree, please do not use the site.

We reserve the right to make any modifications to these terms that we deem necessary, at any time. We will post notice of any major changes in the login of your bloomees.com member account.
